Platform Agreement & Marketplace User Terms

Terms of Service

Please read these Terms of Service carefully before using Zandoro. These terms constitute a legally binding agreement between you and Zandoro, governing your access to our Canadian appointment scheduling marketplace, merchant operating software, and related services.

Effective Date: September 1, 2026•Last Updated: September 13, 2026•Governing Jurisdiction: Province of Ontario & Federal Laws of Canada
Core Platform Principle: Zandoro is a Technology Platform, Not a Service Provider

Zandoro provides intermediary technology software and booking communications that connect independent service businesses with clients. Zandoro is not a hair salon, spa, massage clinic, esthetics studio, dental practice, or tutoring academy. All beauty, grooming, wellness, medical, fitness, or instructional services displayed on the marketplace are performed exclusively by independent third-party Service Providers. When you book an appointment, the contract for services is formed directly between you and the Service Provider. Zandoro is not an employer, partner, or agent of any provider and disclaims all liability for the execution, quality, safety, health outcomes, or legality of booked services.

For Clients

Book real-time appointments with verified Canadian businesses. Pay directly in person. Respect cancellation windows and punctuality.

For Service Providers

Maintain professional licensing, sanitary standards, and insurance. Honor schedules punctually. Comply with CRA/HST tax laws.

Direct Settlement

Clients pay providers directly (Interac, cash, POS). Providers pay a simple $0.49 CAD fee per completed booking ($0 on cancellations).

1. Acceptance of Terms & Definitions

By accessing, browsing, creating an account, booking an appointment, or listing a business on Zandoro (the “Platform”, “Website”, “we”, “us”, or “our”), you (“User”, “you”, or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use the Platform.

Key Definitions:

  • “Client” or “Customer”: Any individual who uses the Platform to discover, schedule, or manage appointments with Service Providers.
  • “Service Provider”, “Partner”, or “Merchant”: Any commercial entity, sole proprietorship, corporation, independent stylist, clinic, academy, or specialist that registers a storefront on Zandoro to offer appointments to Clients.
  • “Service Contract”: The independent legal agreement formed directly between a Client and a Service Provider upon booking confirmation.
  • “Services”: The software applications, online booking interface, merchant portal, and communications features operated by Zandoro.

2. Nature of Platform & Role of Zandoro

Intermediary Marketplace Provider: Zandoro acts solely as an intermediary technology booking facilitator. Zandoro provides the digital venue for Clients to discover Service Providers, review service menus, schedule appointments, and receive automated transactional updates.

Direct Contractual Relationship: When a Client reserves an appointment through Zandoro, a direct contractual relationship is created exclusively between that Client and the respective Service Provider. Zandoro is not a party to that transaction, does not employ the Service Provider or their staff, and exercises no direct control over the execution, safety, quality, or timing of services rendered.

No Endorsement or Professional Representation: While Zandoro conducts merchant onboarding verifications, the display of any Service Provider on the Platform does not constitute an endorsement, guarantee, or warranty of that provider's skill, certification, health standards, or quality of work. Clients are encouraged to perform their own due diligence before receiving services.

3. Account Registration, Security & Eligibility

Age of Majority: You represent and warrant that you have reached the age of majority in your Canadian province or territory of residence (18 years of age in Ontario, Alberta, Manitoba, Prince Edward Island, Quebec, and Saskatchewan; 19 years of age in British Columbia, New Brunswick, Newfoundland and Labrador, Nova Scotia, Northwest Territories, Nunavut, and Yukon). If you are under the age of majority, you may only use the Platform under the supervision and with the express consent of a parent or legal guardian.

Accurate Account Information: You agree to provide true, accurate, current, and complete information during registration and booking (including your legal name, active email address, and Canadian mobile telephone number). You agree to maintain and promptly update this information as needed.

Account Credentials & Security: You are responsible for safeguarding your login credentials. You are solely responsible for any activity that occurs under your account. You agree to notify Zandoro immediately at support@zandoro.app if you discover or suspect unauthorized access to your account.

4. Client Booking, Attendance & Cancellation Policies

Accurate Booking & Communications

When you schedule an appointment, you authorize the Service Provider and Zandoro to communicate with you via email, SMS, or phone regarding your booking. You agree to review all booking details (date, time, selected specialist, service duration, and location) carefully before confirmation.

Booking on Behalf of Others

If you schedule an appointment for a family member, child, or guest (“Attendee”), you certify that you have express authority to submit their name and contact details, and you assume full responsibility for ensuring their punctual attendance and compliance with these Terms.

Cancellation & Rescheduling Windows

Service Providers establish individual cancellation policies (typically requiring between 2 and 24 hours advance notice). You may reschedule or cancel appointments free of charge through the Platform prior to the provider's published cutoff window. Cancellations submitted within the cutoff window or requests made after the scheduled appointment time must be handled directly with the Service Provider.

Lateness & No-Shows

Service Providers maintain tight scheduling rosters. If you arrive more than 15 minutes late, the Service Provider reserves the right to shorten your service time or forfeit the slot to prevent delays for subsequent clients. Repeated unexcused no-shows undermine community trust and may result in the suspension or termination of your booking privileges on Zandoro.

5. Service Provider & Merchant Obligations

All Service Providers listing storefronts on Zandoro certify and agree to the following obligations:

  • Licensing, Health & Regulatory Compliance: You certify that your business holds all necessary Canadian municipal business licences, public health inspection clearances (e.g. Ontario Public Health inspection pass for personal services settings), professional trade certifications, and adequate commercial general liability insurance.
  • Punctual Service Execution: Confirmed customer reservations must be honored punctually as booked. Arbitrary merchant cancellations or failure to attend confirmed appointments cause severe client inconvenience and will lead to immediate storefront de-indexing and account review.
  • Pricing Transparency: Prices, service descriptions, and durations displayed on your storefront must reflect the authentic rates charged to clients. Hidden surcharges, mandatory surprise fees, or arbitrary price increases at the point of service are strictly prohibited.
  • Tax Compliance (CRA & Provincial Tax Remittance): Each independent business operator is solely responsible for registering for a Canada Revenue Agency (CRA) Business Number (BN) and GST/HST account (mandatory if taxable gross commercial supplies exceed $30,000 CAD over four consecutive calendar quarters). Service Providers are solely responsible for remitting collected sales taxes (such as 13% Ontario HST) to the CRA or relevant provincial authorities. Zandoro provides tax rate calculations and receipt itemization strictly as an administrative convenience and assumes no liability for merchant tax obligations.
  • Customer Data Confidentiality: Client contact details (names, phone numbers, emails, and service notes) provided through Zandoro are entrusted exclusively for fulfilling booked appointments. Service Providers must not export, sell, or use client information for unsolicited mass marketing in violation of Canadian privacy laws (PIPEDA) or CASL.

6. Payment Terms, Direct Settlement & Platform Fees

Direct Client-Merchant Settlement (“Pay at Appointment”): Appointments booked through Zandoro operate on a direct settlement model. Clients pay the Service Provider directly upon completion of service using payment methods accepted by that business (including Interac debit, merchant point-of-sale card terminal, cash, or e-Transfer). Zandoro does not collect, hold, or process customer credit card numbers for appointment bookings at this time.

Merchant Software Subscription Tiers: Service Providers choose between available platform subscription tiers:

  • Basic Tier: $0 CAD/month. Standard booking management features.
  • Pro Tier: $16.99 CAD/month. Advanced scheduling, multi-staff management, custom storefront branding, and analytics. Introductory promotional pricing ($0 CAD/month) applies to grandfathered accounts as indicated in the merchant dashboard.

Per-Booking Platform Usage Fee: To support platform infrastructure, email dispatch, and marketplace discovery, Service Providers are charged a nominal platform fee of $0.49 CAD per completed appointment.

Zero-Fee Guarantee on Cancellations: Platform usage fees are never charged on cancelled appointments or customer no-shows. Fees accrue strictly on confirmed appointments marked as completed.

Consolidated Monthly Invoicing: Zandoro issues a consolidated monthly statement at the conclusion of each calendar billing cycle. Statements are payable within 15 calendar days via Interac e-Transfer or authorized payment method. Overdue accounts may be placed on temporary hold.

7. Health, Safety & Allergy Disclaimers

Client Disclosure Responsibilities: Clients acknowledge that certain beauty, grooming, spa, esthetics, wellness, and fitness services carry inherent health risks (including allergic reactions, skin sensitivities, chemical irritations, or physical strain). Clients are solely responsible for notifying Service Providers in advance of any allergies, pregnancy, medical conditions, medications, skin sensitivities, or physical limitations.

Not Medical Advice: Information displayed on Zandoro (including service descriptions, vertical categories, and blog articles) is provided for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional regarding any medical condition.

Provider Sanitation Protocols: Service Providers are solely responsible for adhering to applicable provincial health and infection prevention standards (including sterilization of instruments, sanitization of work areas, and single-use disposable tools where mandated by public health authorities).

8. User Reviews, Ratings & Content Submission

Authentic First-Hand Experiences: Clients who complete appointments are encouraged to post ratings and reviews. Reviews must reflect genuine, first-hand experiences with the Service Provider. Submitting fake, fraudulent, paid, or retaliatory reviews is strictly prohibited.

Content Standards: User reviews, profile images, and storefront descriptions must not contain:

  • Defamatory, libelous, abusive, obscene, or threatening language.
  • Hate speech, discrimination based on protected grounds (race, religion, gender, sexual orientation, disability), or harassment.
  • Personal private information of specialists or clients (full personal addresses, financial details, phone numbers).
  • Commercial advertising, spam, or promotional links to competing services.

License Grant to Zandoro: By submitting reviews, photos, business logos, or descriptions, you grant Zandoro a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute such content on the Platform and in marketing materials.

Moderation & Removal Rights: Zandoro reserves the right, but assumes no obligation, to monitor, review, edit, or remove any user-generated content that violates these Terms or harms the integrity of the marketplace.

9. Acceptable Use & Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Malicious Booking / Denial of Service: Creating fraudulent, speculative, or fictitious appointments to block competitor schedules or manipulate provider availability.
  • Data Scraping: Using bots, crawlers, scrapers, or automated tools to extract directory listings, merchant menus, reviews, pricing, or user data without express written permission.
  • Reverse Engineering: Decompiling, disassembling, reverse engineering, or attempting to discover the source code of any part of the Platform.
  • Security Tampering: Circumventing authentication mechanisms, probing network vulnerabilities, injecting malicious scripts, or overloading server infrastructure.
  • Impersonation: Misrepresenting your identity, business affiliations, trade licenses, or creating accounts under false pretenses.

10. Intellectual Property & Copyright Policy

The Platform, including its software code, trademarks, service marks, logo designs, graphic interfaces, website text, and algorithms, is the exclusive property of Zandoro and its licensors, protected by Canadian and international copyright and trademark laws.

Notice and Notice Regime: If you believe that content hosted on Zandoro infringes your copyright, you may submit an infringement notice in accordance with Canada's Copyright Act to our designated legal desk at legal@zandoro.app with detailed identification of the copyrighted work and the allegedly infringing URL.

11. Electronic Communications & CASL Agreement

By using Zandoro, you consent to receive electronic communications from us and from Service Providers with whom you book appointments. Transactional communications (booking confirmations, 1-hour reminders, reschedule alerts, and receipts) are sent directly to service your appointment in compliance with Canada's Anti-Spam Legislation (CASL). Commercial promotional emails will only be sent with your express opt-in consent and will always contain a clear one-click unsubscribe mechanism.

  • ANY BUGS, VIRUSES, TROJAN HORSES, OR TRANSMISSIONS THROUGH THE PLATFORM.

IN NO EVENT SHALL ZANDORO'S TOTAL CUMULATIVE AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (A) FIFTY CANADIAN DOLLARS ($50.00 CAD), OR (B) THE TOTAL PLATFORM FEES ACTUALLY PAID BY YOU TO ZANDORO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to defend, indemnify, and hold harmless Zandoro, its parents, subsidiaries, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal and accounting fees) arising from or relating to: (a) your use of the Platform; (b) any service you provide or receive as a Merchant or Client; (c) your breach of these Terms or violation of any applicable law; (d) your infringement of any third-party right, including intellectual property or privacy rights; or (e) any user content you post or transmit.
